WHEREAS, the Metropolitan Government of Nashville and Davidson County, acting by and through the former Metropolitan Nashville Department of Public Works, now known as NDOT, previously entered into an intergovernmental agreement with TDOT, Agreement No. 190024, for intersection improvements on Nolensville Pike from McNally Drive to Natchez Court ("the Agreement"), approved by RS2019-135; and,
WHEREAS, the Metropolitan Council approved by RS2020-189, amendment one to the Agreement, which amended Attachment 1 to the Agreement to correct a typographical error; and,
WHEREAS, the Metropolitan Council approved by RS2020-471, another amendment one to the Agreement, which deleted the original exhibit A to the Agreement in its entirety and replaced it with a new exhibit A, because TDOT did not sign the amendment one approved by RS2020-189; and
WHEREAS, the parties wish to amend the Agreement to delete the language of the Agreement in its entirety and replace it with the language set forth in "Amendment Two," attached hereto, in order to replace the previous contract template, and to extend the completion date to July 1, 2024 so as to complete work on the environmental phase of the project and begin work on the right-of-way and utility coordination phases; and,
WHEREAS, pursuant to RS2019-135, any amendments, renewals, or extension of the terms of the Agreement may be approved by resolution of the Metropolitan Council; and,
