WHEREAS, the Metropolitan Government, acting by and through the Office of the Mayor, previously entered into a grant agreement for a Bloomberg American Cities Program grant with Bloomberg Philanthropies in partnership with the Bloomberg Center for Public Innovation at Johns Hopkins University to pursue transformative solutions to address long-term solutions combating climate change approved by RS2025-1059; and,  
WHEREAS, the grant agreement described that a subaward agreement between Johns Hopkins University and the Metropolitan Government would be forthcoming to further define the terms of the grant as it relates to the $120,000 to be used for years 1 and 2 of the grant project; and,
WHEREAS, the parties have negotiated a subaward agreement which further defines both parties’ responsibilities as it relates to the $120,000 grant to be used for years 1 and 2; and,
WHEREAS, it is to the benefit of the citizens of The Metropolitan Government of Nashville and Davidson County that this subaward agreement be approved.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1.                     That the subaward agreement by and between Johns Hopkins University, and the Metropolitan Government, acting by and through the Office of the Mayor, as part of the Bloomberg American Sustainable Cities grant project approved by RS2025-1059, a copy of which subaward agreement is attached hereto and incorporated herein, is hereby approved.
Section 2.                     That this resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.

This resolution approves a grant subaward agreement between Johns Hopkins University (“Johns Hopkins”) and the Office of the Mayor as part of the Bloomberg American Sustainable Cities grant project. 
 
The Metropolitan Council approved an initial grant agreement for this project through Resolution No. RS2025-1059. The grant agreement contemplated a subaward agreement between Johns Hopkins and the Metropolitan Government to define the terms of a $120,000 grant for non-personnel experiences.
 
The subaward agreement provides to Johns Hopkins University to complete its obligations under its Bloomberg American Sustainable Cities grant. John Hopkins’ obligations consist of two $60,000 payments to be used for years one and two of the grant project. The first $60,000 payment will be provided in advance upon the execution of the subgrant agreement to provide adequate funding through December 31, 2025. Johns Hopkins shall pay the Metropolitan Government for services rendered based on the completion of innovation milestone deliverables and reporting outlined in the memorandum of understanding approved in RS2025-1059.
 
The grant term will continue until February 28, 2027.
