WHEREAS, The Metropolitan Government of Nashville and Davidson County (“Metro”) previously entered into Contract 6546417, with OverDrive, Inc., for the provision of ebooks, Eaudiobooks, ArtistWorks, eMagazines, and Kanopy Subscription Service, which was approved by RS2024-403; and,
WHEREAS, the parties have agreed to Amendment Number 1 to this contract to insert new standard contract clauses, increase the estimated value to add $22,230.14, and remove and replace Exhibit A - Pricing; and,
WHEREAS, approval of the contract amendment attached hereto and incorporated herein with OverDrive, Inc. will benefit the citizens of the Metropolitan Government of Nashville and Davidson County.
NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1. That Amendment Number 1 to a contract between The Metropolitan Government of Nashville and Davidson County and OverDrive, Inc. (contract number 6546417), a copy of which is attached hereto and incorporated herein, is hereby approved, and the Metropolitan Mayor is authorized to execute the same.
Section 2. That this Resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.

This resolution approves the first amendment to a sole source contract between the Metropolitan Government and OverDrive, Inc. to provide eBooks, eAudiobooks, ArtistWorks, eMagazines, and Kanopy Subscription Service for the Nashville Public Library. This contract was first approved by the Metropolitan Council through Resolution No. RS2024-415.
The contract as approved in Resolution No. RS2024-415 was $21,500,000 and the contract term was 60 months.
The proposed amendment would increase the estimated value by $22,230.14 to $21,522,230.14 and update the pricing exhibit to include a Kanopy Kids Subscription. The amendment would also insert standard clauses on outstanding purchase orders, survival, Tennessee Procurement Protection Act, and Conflicting Vendor Terms and amend the Proof of Insurance requirements
Sole source contracts may be awarded under the Metro procurement code when it is determined that there is only one source for the supply or services rendered. Section 4.12.060 of the Metro Code requires all sole source contracts having a total value in excess of $250,000 to be approved by the Metropolitan Council by resolution.
Fiscal Note: This amendment to the sole source contract number 6546417 with OverDrive, Inc., for eBooks, eAudiobooks, ArtistWorks, eMagazine and Kanopy subscription service, increases the estimated contract life value by $22,230.14 from $21,522,230.14 to $21,522,230.14.
