WHEREAS, The Metropolitan Government of Nashville and Davidson County owns certain real property located at 2565 Park Plaza (Parcel No. 09214004400); and,
WHEREAS, Centennial Park Conservancy (“Conservancy”) seeks to occupy a portion of the premises that is otherwise occupied by the Department of Parks and Recreation; and,
WHEREAS, The Metropolitan Government of Nashville and Davidson County and Conservancy have negotiated the agreement attached hereto and incorporated herein; and,
WHEREAS, this ordinance has been mandatorily referred to the Planning Commission pursuant to Section 11.505 of the Metropolitan Charter and has been assigned Proposal No. ***, which has been administratively reviewed and recommended for approval; and,
WHEREAS, it is to the benefit of the citizens of The Metropolitan Government of Nashville and Davidson County that this agreement be approved.
NOW, THEREFORE, BE IT ENACTED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1. That the Agreement between The Metropolitan Government of Nashville and Davidson County and Centennial Park Conservancy attached hereto and incorporated herein, is hereby approved and the Director of Public Property Administration, or his designee, is hereby authorized to execute the same.
Section 2. That any amendment to this agreement shall be approved by resolution of the Metropolitan Council receiving at least twenty-one (21) affirmative votes.
Section 3. This ordinance shall take effect from and after its final passage, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.

This ordinance approves an agreement between the Metropolitan Department of Parks and Recreation (“Metro Parks”) and Centennial Park Conservancy to allow Centennial Park Conservancy to occupy a portion of Metro Parks headquarters at 2565 Park Plaza.
The lease will allow Centennial Park Conservancy to use approximately 1,571 square feet of office space and 1,440 of open space at the Park Plaza property. Metro Parks would provide the furnishings and general equipment to perform Centennial Park Conservancy’s office functions, all of which will remain at the facility after the lease.
No rent will be charged as part of this lease agreement. The initial term of the lease is five years from the date that the agreement is signed by all parties and filed with the Metropolitan Clerk. The lease may be extended for a single. five-year term upon written mutual agreement and 90 days’ notice by both parties. Termination of the lease is allowed by either party with thirty days’ notice.
Metro Parks would also be responsible for all utilities, related service costs, and general maintenance. Centennial Park Conservancy would be obliged to keep the office space in clean and sanitary condition and to pay to repair any property of the Metropolitan Government that is defaced, destroyed, damaged, or lost while in use by the lessee.
Centennial Park Conservancy must provide commercial general liability insurance containing bodily injury and property damage coverage of not less than $2,000,000 per occurrence. Centennial Park Conservancy must also maintain insurance coverage as required for its personal property, equipment, and operations within the premises and bear responsibility for any damage to the property that it caused. Centennial Park Conservancy must also indemnify, defend, and hold harmless the Metropolitan Government against all claims that arise under the lease and relate to an action or inaction of the lessee.
Any amendment to this agreement may be approved by the Metropolitan Council by a resolution receiving 21 affirmative votes.
Fiscal Note: Centennial Park Conservancy will lease from Metropolitan Department of Parks and Recreation, approximately 1,571 square feet of office space at 2565 Park Plaza at no cost for a period of five years from the date the lease is signed. Centennial Park Conservancy will be responsible for maintenance and repairs of the leased space and any furnishing and equipment provided by Metro.
