A resolution approving Amendment Number 5 to an intergovernmental agreement by and between the State of Tennessee Department of Transportation (“TDOT”) and the Metropolitan Government, by and through the Nashville Department of Transportation and Multimodal Infrastructure (“NDOT”), for the acceptance of work in connection with the construction of a sidewalk on Lebanon Pike, from McGavock Pike to Old Lebanon Pike. WHEREAS, RS2015-1535 approved an intergovernmental agreement between TDOT and NDOT for Lebanon Pike sidewalk improvements (the "Agreement"); and,
WHEREAS, RS2020-512 approved Amendment Number 1 to the Agreement, which replaced in its entirety the language of the Agreement, with the language of Amendment Number 1; and,
WHEREAS, RS2022-1433 approved Amendment Number 2 to the Agreement, which extended the completion date of the project to May 31, 2024; and,
WHEREAS, RS2024-421 approved Amendment Number 3 to the Agreement, which replaced Exhibit A to the Agreement in its entirety with a new Exhibit A that reflected the change in project costs and extended the project completion date to June 30, 2026; and,
WHEREAS, RS2024-837 approved Amendment Number 4 to the Agreement, which replaced Exhibit A to the Agreement in its entirety with a new Exhibit A that reflects a change in project costs; and,
WHEREAS, as set forth in Amendment Number 5 to the Agreement, attached hereto as Exhibit A and incorporated by reference, the parties now desire to extend the project completion date to May 31, 2029; and,
WHEREAS, Tennessee Code Annotated § 12-9-104(a)(2)(b) authorizes the Metropolitan Council to approve an agreement with TDOT by resolution; and,
WHEREAS, it is in the interest of the Metropolitan Government of Nashville and Davidson County that Amendment Number 5 to the Agreement be approved.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1. That Amendment Number 5 to the intergovernmental agreement between the State of Tennessee Department of Transportation and the Metropolitan Government of Nashville and Davidson County, by and through the Nashville Department of Transportation and Multimodal Infrastructure, attached hereto as Exhibit A and incorporated herein by reference, is hereby approved, and the Metropolitan Mayor is authorized to execute the same.
Section 2. That any amendments, renewals, or extension of the terms of the agreement may be approved by resolution of the Metropolitan Council.
Section 3. That this resolution shall take effect from and after its adoption, the welfare of the Metropolitan Government of Nashville and Davidson County requiring it.

This resolution approves the fifth amendment to an intergovernmental agreement between the Tennessee Department of Transportation (“TDOT”) and the Nashville Department of Transportation and Multimodal Infrastructure (“NDOT”) for acceptance of work in connection with the construction of a sidewalk on Lebanon Pike (State Route 24) from McGavock Pike to Old Lebanon Pike.
The agreement was initially approved pursuant to Resolution No. RS2015-1535. The first amendment was approved via RS2020-513. The first amendment replaced the agreement in its entirety, provided for use of TDOT on-call consultants and extended the completion date to May 31, 2022. The second amendment was approved by Resolution No. RS2022 1433 and extended the completion date from May 31, 2022, to May 31, 2024. The third amendment was approved by Resolution No. RS2024-421 and amended the project costs, extended the project completion date from May 31, 2024, to June 30, 2026, and replaced Exhibit A to reflect the increased cost of right-of-way phase and the increased costs of construction associated with the project. The fourth amendment replaced the pricing list, increasing the right of way cost by $569,930 total project costs were $7,251,010.
The proposed amendment extends the proposed completion date to May 31, 2029.
Fiscal Note: This amendment extends the contract term to May 31, 2029, and there is no change to the estimated cost of the project.
