WHEREAS, the Metropolitan Council previously approved Agreement No. 150028 (“the Agreement”), by and between the Tennessee Department of Transportation (“TDOT”) and the Metropolitan Government of Nashville and Davidson County, acting by and through the Metropolitan Nashville Public Works Department (now the Nashville Department of Transportation and Multimodal Infrastructure, “NDOT”) through resolution, RS2015-1534; and,
WHEREAS, Amendment Number 1 to the Agreement, approved by RS2020-513, replaced in its entirety, the language of the Agreement dated August 14, 2015, with the language of the Amendment 1; and,
WHEREAS, Amendment Number 2 to the Agreement, approved by RS2022-1388, extended the completion date of the project from March 1, 2022 to January 31, 2025, to allow time for right-of-way acquisition; and,
WHEREAS, as set forth in Amendment Number 3 to the Agreement, attached hereto and incorporated herein, the parties wish to extend the completion date to August 28, 2028; and,
WHEREAS, Tennessee Code Annotated § 12-9-104(a)(2)(b) authorizes the Metropolitan Council to approve an agreement with TDOT by resolution; and,
WHEREAS, it is in the interest of the Metropolitan Government of Nashville and Davidson County that Amendment Number 3 to the Agreement be approved.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1. That Amendment Number 3 to the Agreement between the State of Tennessee, Tennessee Department of Transportation, and the Metropolitan Government of Nashville and Davidson County, through the Nashville Department of Transportation and Multimodal Infrastructure, attached hereto as Exhibit A and incorporated herein by reference, is hereby approved, and that the Metropolitan Mayor is authorized to execute the same.
Section 2. That any amendments, renewals, or extension of the terms of the agreement may be approved by resolution of the Metropolitan Council.
Section 3. That this resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.

This resolution approves the third amendment to an intergovernmental agreement between the Tennessee Department of Transportation (“TDOT”) and the Nashville Department of Transportation and Multimodal Infrastructure (“NDOT”) for the construction of a sidewalk along Harding Place (State Route 255) from Danby Drive to Nolensville Pike.
The original agreement was approved by Resolution No. RS2015-1534. The first amendment, approved by Resolution No. RS2020-513, replaced the agreement in its entirety. The second amendment, approved by Resolution No. RS2022-1388 changed the completion date from March 1, 2022, to January 31, 2025, and replaced Exhibit A.
The proposed amendment changes the completion date from January 31, 2025, to August 28, 2028. All other parts of the agreement remain in effect.
