This Agreement is entered into on this _____ day of _____________, 2024, by, between, The Metropolitan Nashville Department of Communications, a department of THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY, a metropolitan government organized and existing under the laws and constitution of the State of Tennessee (hereinafter "Metro"), and the FAIRFAX COUNTY DEPARTMENT OF PUBLIC SAFETY COMMUNICATIONS, a county entity organized and existing under the laws and Constitution of the Commonwealth of Virginia (hereinafter "DPSC") (collectively the "Parties").
WHEREAS, both The Metropolitan Nashville Department of Communications ("Metro DEC"), Government of Nashville and Davidson County ("Metro"), and The County of Fairfax, Virginia County Department of Public Safety ("Fairfax"), ("the Parties") are engaged in providing emergency services as an E9-1-1 Public Safety Answering Point ("PSAP") through their emergency communication departments - the Metropolitan Department of Emergency Communications ("Metro DEC") and the Fairfax County Department of Public Safety Communications ("Fairfax"), respectively; and,
WHEREAS, each Party understands that the concept of the Emergency E9-1-1 system is to provide for the prompt answering and dispatching of emergency calls for assistance by the public; and,
WHEREAS, the Parties desire to work together to provide backup capability for the safety of residents and visitors in each jurisdiction, and the emergency response personnel within; and,
WHEREAS, Metro DEC and Fairfax (collectively referred to as the "Network Users") are customers of the AT&T Next Generation ESINet (hereinafter the "Network"); and
