A resolution approving the First Amendment to an agreement between the Metropolitan Government of Nashville and Davidson County and Azteca Systems, LLC to provide the Enterprise License Agreement for Cityworks Software.

WHEREAS, The Metropolitan Government of Nashville and Davidson County (“Metro”) previously entered into Contract 430826 with Azteca Systems, LLC for the Enterprise License Agreement for the Cityworks Software; and,
WHEREAS, Section 4.12.060 of the Metropolitan Code of Laws authorizes the Metropolitan Purchasing Agent to enter into sole source contracts when the Purchasing Agent determines in writing according to standards adopted by the Procurement Standards Board that there is only one source for the supply or services required; and,
WHEREAS, Section 4.12.060 of the Metropolitan Code of Laws calls for Council approval by Resolution of sole source contracts “with a total contract amount in excess of two hundred fifty thousand dollars”; and,
WHEREAS, the contract between the Metropolitan Government of Nashville and Davidson County and Azteca Systems, LLC was approved by RS2019-1557; and,
WHEREAS, the parties desire to amend Section 4.1 of Contract Number 430826 to increase the value of the contract, a copy of which amendment is attached hereto and incorporated herein; and,
WHEREAS, it is to the benefit of the citizens of The Metropolitan Government of Nashville and Davidson County that the amendment to the contract be approved.
NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1: That this First Amendment to the Contract between The Metropolitan Government of Nashville and Davidson County and Azteca Systems, LLC, attached hereto and incorporated herein, is hereby approved, and the Metropolitan Mayor is authorized to execute the same.
Section 2: That this Resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.

This resolution approves the first amendment to a sole source contract between the Metropolitan Government and Azteca Systems, LLC, originally approved by Resolution No. RS2019-1557.
The contract provides the enterprise license agreement for Cityworks Software. This provides a variety of platforms for service requests, permit issuances, tracking services, mapping, and related tools. The original contract value was $1,032,000.
The resolution under consideration increases the value of the contract by $450,000, for a new estimated contract value of $1,482,000. The increase is to cover the Enterprise License Agreement licensing and any additional licensing charges.
Fiscal Note: This amendment will increase the value of the sole source contract by $450,000. The contract value increased from $1,032,000 to $1,482,000.
