WHEREAS, The Metropolitan Government of Nashville and Davidson County previously entered into a contract (Contract Number 6566378) with ImageTrend, LLC, approved by RS2024-938; and,
WHEREAS, the parties wish to amend the company address; and,
WHEREAS, the parties wish to amend the estimated contract value; and,
WHEREAS, the parties wish to amend the proof of insurance clause by removing the RFQ, name, or description requirement; and,
WHEREAS, the parties wish to remove and replace Exhibit A - Price Sheet and Work Order Attachment; and,
WHEREAS, it is to the benefit of the citizens of The Metropolitan Government of Nashville and Davidson County that amendment one be approved.
NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1: That amendment one to the contract between The Metropolitan Government of Nashville and Davidson County and ImageTrend, LLC, attached hereto and incorporated herein, is hereby approved, and the Metropolitan Mayor is authorized to execute the same.
Section 2: That this Resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.

This resolution approves the first amendment to a sole source contract between the Metropolitan Government and ImageTrend, LLC to provide EMS and Nashville Fire Department (“NFD”) data collection and reporting software.
The original contract, approved by Resolution No. RS2024-938, allows NFD to use ImageTrend for patient care, records management, inspections, investigations, and reporting with all divisions of the department. NFD has contracted with ImageTrend since 2009 for software to help gather, analyze, and report incident and exposure data.
The proposed amendment would add $278,000 in value to the contract for a new total of $2,278,000. According to the contract amendment request form, the amendment would add the Elite Visual Pre Plans module, which would increase the contract cost by $5,100 per month. The contract amendment would update the contractor’s address, update the proof of insurance to remove the RFQ, name, or description requirement from a certificate of insurance, and update the price sheet to reflect new additions.
Sole source contracts may be awarded under the Metro procurement code when it is determined that there is only one source for the supply or services rendered. Section 4.12.060 of the Metro Code requires all sole source contracts having a total value in excess of $250,000 to be approved by the Council by a resolution receiving 21 affirmative votes. The contract under consideration has an estimated value in excess of $250,000 and therefore requires Council approval.
Fiscal Note: This amendment increases the estimated contract value of the sole source contract 6566378 with Image Trend, LLC for the emergency medical services and fire department data collection and reporting software by $2,000,000 for a revised contract amount of $2,278,000 to be paid from Fund 10101, Business Unit 32160110. However, actual expenses may be paid from various departments’ funds and business units when purchase orders are issued.
