WHEREAS, Resolution No. RS2020-625 approved a sole source contract (Contract No. 6469119) between the Metropolitan Government and Southern Sales Co, a Division of Tencarva Machinery, for the provision of products, parts and equipment for specific brands of water products; and
WHEREAS, Ordinance No. BL2024-308 approved amendment one to this contract, which extended the contract term through November 2030, increased the contract value, and updated Exhibit A - Pricing; and,
WHEREAS, the parties wish to amend the proof of insurance clause by removing the requirement to identify the project name, RFQ, or contract number on the ACORD document; and,
WHEREAS, the parties wish to remove and replace Exhibit A - Pricing to reflect product availability changes; and,
WHEREAS, it is to the benefit of the citizens of The Metropolitan Government of Nashville and Davidson County that amendment two be approved.
NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1: That amendment two to the contract between The Metropolitan Government of Nashville and Davidson County and Southern Sales Co, a Division of Tencarva Machinery, attached hereto and incorporated herein, is hereby approved, and the Metropolitan Mayor is authorized to execute the same.
Section 2: That this Resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.

This resolution approves the second amendment to a sole source contract between the Metropolitan Government and Southern Sales Co., a Division of Tencarva Machinery.
The Council approved the original contract through Resolution No. RS2020-625 on November 5, 2020. The original contract provided products, parts, and equipment for specific brands of products used by the Department of Water and Sewerage Services within its water treatment system. The contract term was five years from the date of the filing with the Metropolitan Clerk, and its total value was estimated to be $20,000,000.
The contract was amended through Ordinance No. BL2024-308, which extended the contract term to 10 years and increases the estimated contract value to $30,000,000.
The proposed amendment would change the pricing information exhibit to reflect product availability changes. The amendment also removes a requirement to identify the project name, RFQ, or Contract Number on a certificate of insurance and adds language required by Tenn. Code Ann. § 12-4-119 prohibiting the contractor from engaging in a boycott of Israel for the duration of the contract.
Sole source contracts may be awarded under the Metro procurement code when it is determined that there is only one source for the supply or services rendered. Section 4.12.060 of the Metro Code requires all sole source contracts having a total value in excess of $250,000 to be approved by the Council.
Fiscal Note: This amendment to contract number 6469119 will not change the estimated contract total value of $30,000,000.
