WHEREAS, The Metropolitan Government of Nashville and Davidson County previously entered into a contract (Contract Number 6546420) with The TDH Company, LLC, approved by RS2024-347; and,
WHEREAS, the parties wish to amend the proof of insurance clause by removing the requirement to identify the project name, RFQ, or contract number on the ACORD document; and,
WHEREAS, the parties wish to remove and replace Exhibit A - Pricing to reflect product availability changes; and,
WHEREAS, it is to the benefit of the citizens of The Metropolitan Government of Nashville and Davidson County that amendment one be approved.
NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1: That amendment one to the contract between The Metropolitan Government of Nashville and Davidson County and The TDH Company, LLC, attached hereto and incorporated herein, is hereby approved, and the Metropolitan Mayor is authorized to execute the same.
Section 2: That this Resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.

This resolution approves the first amendment to a sole source contract between the Metropolitan Government and The TDH Company, LLC to provide Duperon, EnviroMix, Xylem Sanitaire, and Shand & Jurs products, parts and services for the Central Water Reclamation Facility.
The original contract, as approved by Resolution No. RS2024-347, would supply the following products at its Central Water Reclamation Facility: screening in the new headworks building, large bubble mixing in effluent primary and aeration influent, fine bubble aeration, and flare at Biosolids.
The proposed amendment updates the pricing exhibit to include new product availability and amends the contract’s proof of insurance clause to remove requirement to identify the project name, RFQ, or contract number on the ACORD document.
The estimated value of the contract of $10,000,000 would not change through this contract amendment. Section 4.12.060 of the Metro Code requires all sole source contracts having a total value in excess of $250,000 to be approved by the Council by resolution.
Fiscal Note: This amendment to contract number 6546420 will not change the estimated contract life value.
