WHEREAS, RS2024-464 approved a sole source contract, contract #6549100, dated May 22, 2024, between the Metropolitan Government of Nashville and Davidson County and Transportation Control Systems, Inc., to provide McCain Traffic and Pedestrian Hardware at a 35% discount off manufacturer’s suggested retail price; and
WHEREAS, the Nashville Department of Transportation and Multimodal Infrastructure (“NDOT”) requests that the contract value be increased by $6,000,000.00, increasing the contract value from $2,500,000.00 to $8,500,000.00, due to the passage of the Choose How You Move Transit Referendum and NDOT’s resulting need to increase signal funding and deliver additional signal projects; and
WHEREAS, the increase in value of this contract will enable NDOT to order traffic signal controllers and standard size cabinets that will enable smart signal operations; and
WHEREAS, Amendment Number 1, attached hereto and incorporated by reference, reflects the parties’ agreement to increase the value of the Agreement by $6,000,000.00 and modify clause 7.1, Proof of Insurance, to remove the requirement to identify the project name, RFQ, or Contract number on the ACORD document; and,
WHEREAS, pursuant to Section 4.12.060 of the Metropolitan Code of Laws, Council must approve by resolution sole source contracts with a total contract amount over $250,000; and,
WHEREAS, it is to the benefit of the citizens of the Metropolitan Government of Nashville and Davidson County that the amendment to the contract be approved.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1. That Amendment Number 1 to the sole source contract between the Metropolitan Government of Nashville and Davidson County and Transportation Control Systems, Inc., attached hereto and incorporated by reference, is hereby approved.
Section 2. That this resolution shall take effect from and after its adoption, the welfare of the Metropolitan Government of Nashville and Davidson County requiring it.

This resolution approves the first amendment to a sole source contract between the Metropolitan Government and Transportation Control Systems, Inc. to provide McCain traffic and pedestrian hardware, including equipment, parts, and products at a 35 percent discount. This sole source contract was originally approved through Resolution No. RS2024-464 with an estimated value of $2,500,000.
The proposed amendment increases the contract value by $6,000,000 to $8,500,000. NDOT seeks to increase the contract total in order to complete additional signal projects enabled by the Choose How You Move referendum. This contract will be utilized to purchase transportation controllers and cabinets, battery back-up cabinets, testing equipment, auxiliary products, and traffic signal heads. The proposed amendment would also remove the requirement for a contract number, project name, or RFQ to appear on a certificate of insurance.
Sole source contracts may be awarded under the Metro procurement code when it is determined that there is only one source for the supply or services rendered. Section 4.12.060 of the Metro Code requires all sole source contracts having a total value in excess of $250,000 to be approved by the Council by resolution with 21 affirmative votes.
Fiscal Note: This amendment increases the sole source contract 6549100 with Transportation Control Systems, Inc. for McCain traffic and pedestrian hardware by $6,000,000 for a revised contract amount of $8,500,000 to be paid from Fund 40220, Cost Center 1042400220. However, actual expenses may be paid from various funds and cost centers when purchase orders are issued.
