WHEREAS, Section 4.12.060 of the Metropolitan Code of Laws authorizes the Metropolitan Purchasing Agent to enter into sole source contracts when the Purchasing Agent determines in writing, according to standards adopted by the Procurement Standards Board, that there is only one source for the supply or services required; and,

WHEREAS, the Purchasing Agent has determined that the services to be provided by InfoSapient meet the requirements for the use of a sole source contract; and,

WHEREAS, Metro and Infosapient entered into a sole source contract dated March 9, 2020 for database administration support for the Oracle-hosted E-Business Suite R12 application (the “Contract”), and the Contract did not require Council action as the original estimated value was less than $250,000; and,

WHEREAS, RS2021-736 approved Amendment Number 1 to the Contract, which increased the estimated value of the contract above $250,000; and,

WHEREAS, as set forth in Amendment Number 2, attached hereto, the parties now desire to extend the term of the Contract from 60 months to 72 months, and to extend the estimated value of the Contract, accordingly; and,

WHEREAS, Section 4.12.160(B) of the Metropolitan Code of Laws calls for Council approval of contracts for supplies or services “with terms exceeding a period of sixty months, either initially or by virtue of amendments, renewals or extensions thereof”; and

WHEREAS, it is in the best interest of the Metropolitan Government of Nashville and Davidson County that Amendment Number 2 to the Contract be approved.

NOW THEREFORE, BE IT ENACTED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1:                     That Amendment Number 2 to the contract between the Metropolitan Government of Nashville and Davidson County and InfoSapient, Inc., for database administration support for the Oracle-hosted E-Business Suite R12 application, attached hereto and incorporated herein, is hereby approved. 

Section 2:                     That this ordinance shall take effect from and after its adoption, the welfare of the Metropolitan Government of Nashville and Davidson County requiring it.

This ordinance approves the second amendment to a contract between the Metropolitan Government and InfoSapient, Inc. for the E-Business Suite R12 database administration support. R12 is an Oracle system that Metro uses for its financial operations and transactions. All Metro departments use the system for creating purchase orders, paying invoices, recording revenues, submitting payroll, tracking departmental budgets, as well as for some HR transactions.

 

InfoSapient, Inc. is a consulting services company that has worked with Metro’s R12 implementation since the beginning of the process. This contract is for database administration support for R12 application for items related to performance, tuning, patching, and validation, along with internal advisory services. The original sole source contract with InfoSapient did not require Council approval because it was below the $250,000 threshold found in Metropolitan Code of Laws Section 4.12.060. Resolution No. RS2021-736 approved Amendment Number 1 to the contract, which increased the value of the contract by $500,000 for a total contract value of $700,000. The original contract was for a term of 60 months.

 

The ordinance under consideration approves Amendment 2 to the agreement. This amendment increases the contract term from 60 months to 72 months. Because the amended contract allows for a total term in excess of 60 months, Metropolitan Code of Laws Section 4.12.160.B requires Council approval by ordinance. In addition, the amendment increases the value of the contract by $250,000 for a total of $950,000.

 

Fiscal Note: This amendment increases the estimated value of the contract number 6462599 by $250,000, from $700,000 to $950,000. The contract with InfoSapient, Inc. is for database administration support for Oracle hosted E-Business Suite R12 application to be paid from Fund 51137, Business Unit 14521011. However, actual expenses may be paid from various department’s fund and business unit when purchase orders are issued.
