WHEREAS, RS2024-666 approved a sole source contract between the Metropolitan Government and UT-Chattanooga for partnering services for the SMART grant (“the Agreement”); and,
WHEREAS, as set forth in Amendment Number 1 to the Agreement, attached hereto and incorporated herein, the parties now wish to increase the value of the Agreement by $250,000, for a total estimated contract value of $600,000, and to modify the insurance requirements; and,
WHEREAS, Metropolitan Code of Laws subsection 4.12.060.C. requires that the Metropolitan Council approve sole source contracts “with a total contract amount in excess of three hundred fifty thousand dollars ($350,000.00)” by resolution duly adopted by the Council by twenty-one affirmative votes; and,
WHEREAS, it is in the best interest of the Metropolitan Government of Nashville and Davidson County that Amendment Number 1 to the Agreement be approved.
NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1: That Amendment Number 1 to the sole source contract between the Metropolitan Government of Nashville and Davidson County and the University of Tennessee on behalf of its campus at Chattanooga, attached hereto and incorporated herein, is hereby approved.
Section 2: That this resolution shall take effect from and after its adoption, the welfare of the Metropolitan Government of Nashville and Davidson County requiring it.

This resolution approves the first amendment to a sole source contract between the Metropolitan Government and the University of Tennessee to provide partnering services for the Strengthening Mobility and Revolutionizing Transportation (“SMART”) grant. This grant was first approved by the Metropolitan Council through Resolution No. RS2024-666.
According to the sole source justification form, the services will be provided by the University of Tennessee in partnership with NDOT, TDOT, and two other universities specifically for the SMART grant, as approved by the Council. The University of Tennessee will provide advanced computer model development, safety evaluation in alignment with the Vision Zero Plan, project and technical leadership, algorithm development, real-time data infrastructure creation, and data analysis, aimed at enhancing multimodal transportation safety.
The estimated value of the original contract is $350,000. The term of the agreement is 60 months and expires on August 25, 2029.
The proposed amendment would increase the value of the contract by $250,000, from $350,000 to $700,000. The amendment would also remove the requirement for a contract number to appear on a certificate of insurance.
Sole source contracts may be awarded under the Metro procurement code when it is determined that there is only one source for the supply or services rendered. Section 4.12.060 of the Metro Code requires all sole source contracts having a total value in excess of $250,000 to be approved by the Council by resolution.
Fiscal Note; This amendment increases the estimated value of this sole source contract number 6554416 with The University of Tennessee, Chattanooga campus, for the SMART grant partnering services by $250,000 from $350,000 to $600,000.
