A resolution approving Amendment Number 2 to a sole source contract between the Metropolitan Government of Nashville and Davidson County and HigherGround, Inc., to increase the value and extend the term of the contract.

WHEREAS, The Metropolitan Government of Nashville and Davidson County (“Metro”) previously entered into Contract 6528930 with HigherGround Inc., for the provision of technology solutions to livestream 911 calls directly to Police in the field; and,
WHEREAS, Metro and Higher Ground, Inc. (“the parties”) executed Amendment Number 1 to Contract 6528930 to extend the contract term to a total of 24 months; and,
WHEREAS, Section 4.12.060 of the Metropolitan Code of Laws authorizes the Metropolitan Purchasing Agent to enter into sole source contracts when the Purchasing Agent determines in writing according to standards adopted by the Procurement Standards Board that there is only one source for the supply or services required; and,
WHEREAS, Section 4.12.060(C) of the Metropolitan Code of Laws requires Council approval by resolution of sole source contracts “with a total contract amount in excess of two hundred fifty thousand dollars ($250,000.00)”; and,
WHEREAS, the parties desire to amend Section 4.1 of Contract 6528930 to increase the value beyond $250,000.00, for a total contract value of $772,755.00, a copy of which amendment is attached hereto and incorporated herein; and,
WHEREAS, the parties desire to amend Section 3.1 of Contract 6528930 to extend the term of the contract for a total term of sixty (60) months, a copy of which amendment is attached hereto and incorporated herein; and,
WHEREAS, it is to the benefit of the citizens of The Metropolitan Government of Nashville and Davidson County that the amendment to the contract be approved.
NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1. That Amendment Number 2 to contract 6528930 between The Metropolitan Government of Nashville and Davidson County and HigherGround Inc., to increase the value of the contract and lengthen the term of the contract, a copy of which is attached hereto and incorporated herein, is hereby approved, and the Metropolitan Mayor is authorized to execute the same.
Section 2. That this Resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.

This resolution approves the second amendment to a sole source contract between the Metropolitan Government and HigherGround, Inc. The original contract 6528930 provides for technology services to livestream 911 calls directly to police officers in the field. The original contract term was 12 months and the total contract value was $155,655. The first amendment extended the contract term to a total of 24 months.
Sole source contracts may be awarded under the Metro procurement code when it is determined that there is only one source for the supply or services rendered. Section 4.12.060 of the Metro Code requires all sole source contracts having a total value in excess of $250,000 to be approved by the Council by resolution.
The amendment under consideration increases the total contract value to $772,755, bringing this sole source contract over $250,000 and triggering the requirement for Council approval. Additionally, the term of the contract would be extended to 60 months.
According to the sole source justification form for the original contract, this manufacturer produces the only solution that livestreams 911 calls in real time, provides all current 911 call locations graphically on a map in the field, and automatically plays 911 calls directly to the officer’s mobile digital communicator (MDC) based on a predefined geofence (patrol zone).
Fiscal Note: This amendment increases the estimated contract value of the sole source contract 6528930 with HigherGround, Inc. by $617,100 for a revised contract amount of $772,755 to be paid from Fund 10101, Business Unit 31160110. However, actual expenses may be paid from various department’s fund and business units when purchase orders are issued.
